Balcıoğlu Selçuk Ardıyok Keki Avukatlık Ortaklığı (“BASEAK”) advised Hummingbird Ventures CVA and Hummingbird Ventures II CVA (together “Hummingbird Ventures”) on the $1.8 billion sale of Peak Oyun Yazılım ve Pazarlama Anonim Şirketi (“Peak”) to Zynga Inc. (“Zynga”).

As part of the transaction, Zynga will acquire 100% of Peak for $1.8 billion, comprised of approximately $900 million in cash and approximately $900 million of Zynga common stock. The transaction is expected to close in the third quarter of 2020.

The transaction is currently the largest ever announced acquisition of a tech start-up in Turkey, enabling Peak to become Turkey’s first “unicorn”, a term used for privately held start-up companies valued at over $1 billion.

Galip M. Selçuk and Selahattin Kaya of BASEAK led the transaction on Turkish law alongside partner Özge Akman and associates Çisem Altundemir, Özgün Kırgın, Denizhan Uslu, Nisan Bükülmez, Erkin Tuzcular and Derin Aydin.

Hummingbird Ventures, founded in 2010, is a Belgium based leading venture capital fund for high-growth digital media and software companies.

Peak, founded in 2010, is a Turkey based mobile gaming company and creator of the highly popular game franchises Toon Blast and Toy Blast. 

Zynga, founded in 2007, is a US based global leader in interactive entertainment primarily focusing on mobile and social networking platforms with its shares currently traded in NASDAQ.
