BASEAK’s Corporate and M&A and Banking and Finance teams successfully advised Clean Energy Transition Fund, a leading Turkish asset management company, on its acquisition of Akocak HEPP, a power plant located in Trabzon, Turkey, from Akenerji, a Turkey-based company engaged in the power and steam generation.

Clean Energy Transition Fund is a private equity firm specializing in investments in straight equity and quasi-equity structures including mezzanine, debt financing, convertibles, and growth capital for companies producing goods and services. The company seeks to invest in energy and infrastructure sectors with a focus on renewable and energy projects with portfolios ranging from 5 MW to 250 MW, including wind farms with capacity factors above 30%.

Akenerji is one of the biggest players in the Turkish power sector. The integrated power company operates in wholesale energy trade and retail electricity sale with 25 years of experience in the sector.

Our work included advising the client on negotiating the transaction’s sale and purchase agreement, while our banking and finance team worked on the acquisition finance of Akocak by reviewing and negotiating the mezzanine financing agreement, senior loan agreement and two layered security documentations with two different banks.
