The Capital Markets Board of Turkey (“CMB”) published a new communiqué regulating the debt instrument holders’ board (“DIHB”). This new Communiqué numbered II.31/A.1 (“Communiqué”) came into force with its enactment on 11 September 2020. DIHB was first introduced into the CMB legislation with the amendments made to the Turkish Capital Markets Law (“CML”) in February 2020. In the last quarter of 2018, the Capital Markets Board of Turkey (“CMB”) published both the Communiqué on the Principles of Reporting to the Trade Repository No. IV-87.1 (“Reporting Communiqué”), and the Regulation on the Establishment, Operation and Supervision of the Trade Repository (“Regulation”). Currently, the Central Registry Agency (“CRA”) is appointed as the Trade Repository by the CMB, in terms of the Regulation and the Reporting Communiqué. Read more
The Communique Amending the Share Communiqué (VII-128.1d) (“Amendment Communiqué”) was published on the Official Gazette dated 24 July 2020 and came into force the same day. Amendment Communique sets out that prior to selling shares in listed companies above certain thresholds; an information form must be drafted and submitted to the Capital Markets Board of Turkey (“CMB”) for approval.
